1. Specified Purpose and Comprehensive Consent Architecture

By executing an affirmative action to access the digital properties, proprietary workflow automation software, custom AI agent interfaces, or website architectures provided by Algoagents OPC Private Limited (hereinafter "the Company"), the User provides explicit, unambiguous, and informed consent to the collection and processing of their personal data. In strict adherence to the principle of purpose limitation under the DPDP Act 2023 and GDPR, the scope of this data processing is explicitly defined to include the optimization of automated workflows, machine learning model calibration, and system architecture enhancement. The User acknowledges that this data collection is a necessary, non-severable condition for the performance of the contractual services provisioned by the Company, and that continued use of the platform automatically establishes a valid, lawful basis for data processing tied directly to contract performance.

2. Algorithmic Optimization and Permissible Data De-Identification

The Data Principal grants the Company a perpetual, global, non-exclusive license to process ingested data for the primary purpose of technical system refinement and AI agent training. To ensure absolute compliance with global privacy regulations while maximizing corporate asset value, all customer data utilized for machine learning enhancements undergoes rigorous, irreversible pseudonymization and de-identification protocols. Once data is structurally transformed into anonymized metadata or aggregated behavioral data streams, it ceases to constitute "personal data" under applicable law. The Company retains exclusive, unencumbered ownership of these anonymized datasets, operational logs, and secondary algorithmic models, reserving the absolute right to commercialize, monetize, and deploy them across its broader suite of B2B digital wrappers and automated architectures.

3. Risk Allocation, Third-Party Dependencies, and Proportionate Liability Caps

The User explicitly recognizes the inherent systemic risks of cloud-hosted, AI-driven automation environments and agrees to a structured, proportionate allocation of financial risk. To the maximum extent permitted by applicable law, and except in cases of the Company's proven fraud, willful misconduct, or gross negligence, the total aggregate financial liability of the Company, its officers, automated agents, and affiliates for any validated data incident, system vulnerability, breach of contract, or operational negligence shall be strictly capped at the lesser of: (a) the total amount of fees actually paid by the client to Algoagents OPC Private Limited for the specific product or deployment during the three (3) month period immediately preceding the event giving rise to liability, or (b) a fixed maximum ceiling of ₹50,000 (INR Fifty Thousand Only). Under no circumstances shall the Company be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to loss of revenue, anticipated profits, business interruption, data corruption, or compromised enterprise growth metrics, even if advised of the possibility of such damages. Furthermore, the Company disclaims all liability for operational failures or data exposures directly or indirectly caused by third-party infrastructure dependencies, including API modifications or downtimes by upstream Large Language Model (LLM) providers, cloud hosting environments, or telecommunication networks. To facilitate rapid operational mitigation, the User agrees to formally notify the Company of any alleged defect or claim within sixty (60) days of discovery; failure to provide such prompt commercial notice may be raised by the Company as a mitigating defense against the quantum of damages claimed. The client assumes sole liability for, and shall fully indemnify the Company against, any statutory fines or third-party actions resulting from the client injecting non-compliant or un-consented data streams into the Company's automation architectures.

4. Structured Modification Framework and Tiered Grievance Redressal

The Company reserves the right to modify this Privacy Policy to align with evolving technology or regulatory updates. Amendments will be communicated via publication on the Company’s digital platform, and continued engagement with the services after a fourteen (14) day notice period constitutes binding legal acceptance of the updated terms. To insulate the Company from immediate regulatory escalation, this agreement mandates a strict, contractually binding internal Grievance Redressal Mechanism. In compliance with Section 13 of the DPDP Act, the Data Principal agrees to exhaust all internal resolution channels with the Company’s designated Data Protection Officer (DPO) prior to initiating any formal complaints with the Data Protection Board of India or external judicial bodies. To exercise any statutory rights or initiate the Grievance Redressal Mechanism, the Data Principal must contact the designated Data Protection Officer directly at: info@algoagents.in. Any unresolved commercial or operational disputes shall be subject to the exclusive jurisdiction of the courts located in the Company's principal place of business.

5. Statutory Data Rights, Erasure, and Age Restrictions

Users retain the statutory right to withdraw consent and request the erasure of active, non-anonymized personal data by submitting a formal written request to the designated DPO. The Company shall process such requests within the legally mandated timelines, provided the data is not strictly required for ongoing contractual fulfillment, dispute resolution, or legal compliance. Furthermore, the digital properties and automation services of Algoagents OPC Private Limited are exclusively intended for B2B commercial entities and adults over the age of eighteen (18). The Company strictly prohibits the use of its systems by minors and does not knowingly collect or process the personal data of individuals under 18 years of age.
